Introduction

PLEASE READ THESE TERMS CAREFULLY. BY DOWNLOADING, INSTALLING, OR USING THE NETWORK NOTES APPLICATION, YOU ACCEPT AND AGREE TO THESE TERMS. PLEASE ALSO READ OUR PRIVACY POLICY TO LEARN HOW WE COLLECT AND USE INFORMATION.

These Terms of Service (these "Terms") explain the relationship between Saicere Labs LLC ("Saicere Labs," "we," "our," or "us") and you when you download, install, access, use, or purchase subscriptions to our proprietary mobile application Network Notes, including all related documentation, updates, and upgrades (the "App").

THESE TERMS, TOGETHER WITH OUR PRIVACY POLICY, FORM AN AGREEMENT BETWEEN YOU AND SAICERE LABS. BY AGREEING TO THESE TERMS OR USING THE APP, YOU REPRESENT THAT YOU ARE LEGALLY COMPETENT TO ENTER INTO THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

Eligibility

Network Notes is intended for users aged 18 and older. By using the App, you represent and warrant that you are at least 18 years of age and are fully able and competent to agree to these Terms. You may not use the App for unlawful purposes or in violation of any applicable laws, rules, or regulations.

License Grant

The App is owned by Saicere Labs and is licensed, not sold, to you. Subject to your compliance with these Terms and payment of all applicable fees, Saicere Labs grants you a personal, nonexclusive, nontransferable, limited license (without the right to sublicense) to download, install, and use the App on Apple devices that you own or control, solely for your personal or internal business purposes.

You acknowledge that the source code and other trade secrets embodied in the App have not been and will not be licensed or otherwise disclosed to you. All rights not expressly granted in these Terms are reserved by Saicere Labs.

Accounts and Registration

To use the App, you must sign in with Sign in with Apple or Sign in with Google to create an Account. You are responsible for activity under your Account and for keeping your sign-in method secure. Notify us promptly of unauthorized use. We may suspend or terminate your Account if you violate these Terms.

Acceptable Use and Your Responsibilities

You are responsible for the device, operating system, and network connectivity needed to use the App. Saicere Labs does not guarantee that the App will function on any particular device or with any particular software or service plan. If you use the App on a mobile device, you are solely responsible for any message and data fees charged by your carrier.

You will use the App only for lawful purposes and in accordance with these Terms. You agree that you will not, and will not permit others to:

• copy, sell, rent, lease, sublicense, distribute, or commercially exploit the App;
• reverse engineer or circumvent access controls, except where law prohibits that restriction;
• remove proprietary notices;
• use the App for illegal activity, to violate others' privacy or intellectual property rights, or to store content you are not allowed to process; or
• attempt to disrupt, overload, or misuse the App or its related services.

These restrictions apply to all content you store or process through the App, including information about other people. You are responsible for complying with all laws that apply to your use of the App.

Your Content and Information About Others

The App allows you to create, upload, and store information and other content, including memories, notes, contacts, reminders, and voice-dictated text (collectively, "Your Content"). You are solely responsible for the accuracy, quality, legality, and means by which you acquired Your Content.

You retain all rights you hold in Your Content. You grant Saicere Labs a limited license to host, process, transmit, and display Your Content only as needed to operate and provide the App to you in accordance with these Terms and our Privacy Policy. This includes processing Your Content through the third-party services described in our Privacy Policy (for example, transcribing voice dictation and generating AI insights). This license ends when Your Content is deleted or your Account is deleted, except for residual copies that may remain briefly in backups as described in the Privacy Policy.

Network Notes helps you record notes about people you interact with, so Your Content may include information about others. You are responsible for having a lawful basis to store that information. If someone asks us about information stored in your Account, we will direct them to you.

Subscriptions, Billing, and Cancellation

Network Notes offers auto-renewing Premium subscriptions that unlock App functionality. Subscriptions are sold through the Apple App Store and billed to your Apple ID. We do not collect or store your payment card details.

• Plans: weekly, monthly, and yearly (prices shown in the App / App Store and may vary by region).
• Free trial: A free trial is available only when Apple offers an introductory trial for the selected plan and you are eligible (currently offered on the yearly plan). If no trial applies, you are charged at purchase. Unless you cancel at least 24 hours before a trial ends, the paid subscription begins and your Apple ID is charged.
• Auto-renewal: Renews for the same period at the then-current price unless you turn off auto-renew at least 24 hours before period end. Charge may occur within 24 hours before renewal.
• Manage/cancel: Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current period.
• Account deletion does not cancel your Apple subscription; cancel in the App Store separately.
• Refunds: Subject to Apple's policies. Except where required by law, fees are non-refundable.
• Price changes: Do not change the current period; apply to later renewals as required by Apple or law.

Account Deletion

You may permanently delete your Account and associated App data from Profile → Delete Account. Deletion cannot be undone. Apple subscriptions are managed separately through Apple and are not cancelled by Account deletion. Residual copies may remain in encrypted backups for a limited period before permanent removal, as described in the Privacy Policy.

Third-Party Services

The App relies on third-party services to operate, including cloud infrastructure and database providers, AI and speech-to-text providers, Apple and Google for sign-in and (for Apple) billing, and a subscription management provider. Your use of these services through the App may be subject to the applicable third party's terms and policies, as further described in our Privacy Policy.

Saicere Labs is not responsible for the content or practices of third-party services, and you access them at your own risk. You are responsible for complying with any terms applicable to those services.

Disclaimer of Warranties

THE APP IS PROVIDED "AS-IS," "WITH ALL FAULTS," AND "AS AVAILABLE." YOU BEAR THE ENTIRE RISK OF USING IT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAICERE LABS AND ITS AFFILIATES, VENDORS, AGENTS, AND SUPPLIERS DISCLAIM ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SAICERE LABS DOES NOT WARRANT THAT (A) THE APP WILL MEET YOUR REQUIREMENTS, (B) OPERATION OF THE APP WILL BE UNINTERRUPTED OR ERROR- OR VIRUS-FREE, (C) THE APP WILL BE COMPATIBLE WITH ANY PARTICULAR DEVICE OR SYSTEM, OR (D) DEFECTS WILL BE CORRECTED. ANY ORAL OR WRITTEN ADVICE PROVIDED BY SAICERE LABS DOES NOT CREATE ANY WARRANTY.

FEATURES THAT USE AI MAY PRODUCE INCOMPLETE OR INCORRECT RESULTS. THE APP DOES NOT PROVIDE LEGAL, MEDICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.

YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS THAT THESE TERMS CANNOT CHANGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAICERE LABS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE APP OR THESE TERMS (WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY) WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

IN NO EVENT WILL SAICERE LABS BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF USE, DATA, PROFITS, OR BUSINESS INTERRUPTION), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF SAICERE LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS WILL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

You agree that these limitations of liability are an essential part of these Terms and that Saicere Labs would not provide the App to you without them.

Indemnification

You agree to indemnify and defend Saicere Labs and its officers, directors, employees, and agents from claims, damages, losses, and reasonable attorneys' fees arising from Your Content, your violation of these Terms or applicable law, or your storage of information about third parties through the App. Saicere Labs reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

Intellectual Property and Feedback

The App, including its "look and feel" (text, graphics, images, and logos), content, and other materials, is protected by copyright, trademark, and other laws. Saicere Labs owns all right, title, and interest in and to the App and all related intellectual property rights, and you agree not to take any action inconsistent with those ownership interests. These Terms do not grant you any rights in Saicere Labs's trademarks, logos, or other intellectual property except the limited license expressly stated above.

If you provide suggestions, ideas, or other feedback about the App ("Feedback"), you grant Saicere Labs a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback for any purpose without any obligation or compensation to you.

Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the App will be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts. Nothing in these Terms limits any mandatory consumer-protection rights available to you under the laws of your place of residence.

Termination

These Terms apply while you use the App. You may stop using the App and delete your Account in the App (Profile → Delete Account). We may suspend or terminate access for material violation of these Terms. On termination of access, stop using the App. Deleting your Account deletes associated App data as described in the Privacy Policy and does not cancel Apple billing. Survival: disclaimers, limitation of liability, indemnification, intellectual property ownership, and provisions that by nature should survive.

Changes to These Terms

We may modify these Terms from time to time. Modifications become effective when we post the updated Terms in the App and update the "Last updated" date above. Your continued use of the App after the changes become effective constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.
